1. Agreement to these terms

These terms govern your use of the Smart AI Workspace website (smartaiworkspace.tech) and any automation consulting services provided by Smart AI Workspace, operated by Tariq Osmani (“Smart AI Workspace”, “I”, “me”). By using the site or engaging my services, you agree to these terms. This page is provided for transparency and is not legal advice.

2. Scope of engagement

The website provides general information only and does not create a client relationship or an offer to contract. Any paid work is defined in a separate written proposal or statement of work (SOW) agreed between you and me, which sets out deliverables, timeline, assumptions, and fees. Where a signed proposal or SOW conflicts with these terms, the proposal or SOW takes precedence for that engagement.

3. Your responsibilities

• Provide timely access to the systems, accounts, and information needed to deliver the work.
• Maintain your own subscriptions, licences, and API accounts for third-party tools used in your automations.
• Ensure you have the right to grant access to any data or systems you connect to the work.
• Review and test deliverables within the agreed review window.

4. Fees and payment

Fees, payment schedule, and any expenses are set out in the applicable proposal or SOW. Unless stated otherwise, invoices are due within 14 days. Work may be paused on overdue accounts.

5. Intellectual property

On full payment for an engagement, you own the custom workflows, configurations, and code produced specifically for you as deliverables. I retain ownership of my pre-existing materials, general know-how, reusable components, and tooling, and grant you a non-exclusive licence to use them as part of your deliverables. You retain all rights in your own data and systems.

6. Third-party services

Automations often depend on third-party platforms and AI providers (for example Anthropic, OpenAI, n8n, CRM and communication tools). Your use of those services is subject to their own terms, and I am not responsible for their availability, pricing changes, model behaviour, or changes to their APIs.

7. Confidentiality

Each party will protect the other's non-public information shared for the purpose of an engagement and use it only for that purpose. This does not apply to information that is public, independently developed, or required to be disclosed by law.

8. Warranties and disclaimers

I will perform services with reasonable skill and care. Beyond that, the website and all deliverables are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated output can be inaccurate and should be reviewed before it is relied on. I do not warrant that the site or any automation will be uninterrupted or error-free.

9. Limitation of liability

To the fullest extent permitted by law, I will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or business. My total aggregate liability arising from an engagement is limited to the fees paid to me for that engagement in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

10. Term and termination

Either party may terminate an engagement as described in the applicable proposal or SOW, or with reasonable written notice if none is specified. On termination you will pay for work performed up to the termination date. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, and limitation of liability) continue to apply.

11. Governing law

These terms are governed by the laws of [governing jurisdiction to be confirmed], and the courts of that jurisdiction have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer protections in your place of residence.

12. Changes to these terms

I may update these terms as my services or the site change. The “last updated” date reflects the current version. Changes do not alter the terms of an engagement already agreed in a signed proposal or SOW.
